ACCEPTANCE OF TERMS

Welcome to The Andy App ("we," "our," or "us"). By accessing or using our property tax appeal application and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not access or use our Service.

These Terms constitute a legally binding agreement between you and The Andy App. Please read these Terms carefully before using our Service.

ELIGIBILITY

You must be at least 18 years old and able to form legally binding contracts to use our Service. By using our Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a company, organization, or other entity, you represent that you have the authority to bind that entity to these Terms.

ACCOUNT REGISTRATION

To access certain features of our Service, you may need to create an account. When registering for an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.

PROPERTY TAX APPEAL SERVICES

Service Description

The Andy App provides a platform to help property owners protest their property tax assessments. Our Service includes, but is not limited to:

• Property valuation analysis
• Preparation and submission of property tax appeal documents
• Communication management with tax authorities
• Digital document signing through our integration with SignWell
• Property documentation management and storage
• Status updates through push notifications, text messages, and/or phone calls (with your consent)

Agency Relationship

By using our Service, you authorize The Andy App to act as your agent for the purpose of preparing, filing, and representing you in property tax appeals. This authorization includes:

• Communicating with tax authorities on your behalf
• Accessing your property tax information
• Filing necessary documentation
• Attending hearings (either in person or virtually)
• Negotiating on your behalf

You may revoke this authorization at any time by contacting us, subject to the termination provisions in these Terms.

Property Information and Photos

You grant us permission to use the property information and photos you provide solely for the purpose of preparing and supporting your property tax appeal. You represent and warrant that you own or have the necessary rights to provide any property photos or documents that you upload to our Service.

Digital Signing with SignWell

Our Service integrates with SignWell for electronic document signing. By using this feature, you acknowledge that:

• Documents signed through this process are legally binding
• You are the person authorized to sign such documents
• Your use of SignWell is also subject to SignWell's own terms of service and privacy policy

FEES AND PAYMENT

Fee Structure

Our fee structure is contingency-based, meaning you only pay if we succeed in reducing your property taxes. Our fee is calculated as a percentage of your first-year tax savings. Current fee information is available on our website or within the app.

Payment Terms

If your property tax appeal is successful, payment is due within 30 days of receiving notification of the reduced assessment or tax bill. We accept major credit cards, ACH transfers, and other payment methods as specified in the app.

Failed Payments

If your payment fails or is declined, we reserve the right to:

• Attempt to process the payment again
• Contact you for alternative payment information
• Add reasonable late fees if payment becomes significantly overdue
• Take legal action to collect outstanding payments

COMMUNICATIONS AND MESSAGING

Consent to Receive Text Messages

By providing your mobile phone number and opting in to receive text messages from The Andy App, you expressly consent to receive recurring automated and non-automated SMS and MMS text messages from The Andy App regarding your property tax appeal, including but not limited to: appeal status updates, document requests, deadline reminders, account notifications, and other service-related communications. Your consent to receive text messages is not a condition of purchasing any goods or services from The Andy App.

Message Frequency and Rates

Message frequency varies depending on the status and activity of your property tax appeal. On average, you can expect to receive approximately 2–8 messages per month, though this may vary based on your appeal activity. Message and data rates may apply. Please contact your wireless carrier for details regarding your messaging plan and any applicable charges. The Andy App is not responsible for any fees charged by your wireless carrier.

Opt-In Confirmation

Upon opting in to receive SMS messages, you will receive a single confirmation message from The Andy App verifying your enrollment in our messaging program. This confirmation message will include the program name (The Andy App), the types of messages you will receive, message frequency disclosure, the notice that message and data rates may apply, opt-out instructions, and help instructions.

Opting Out of Text Messages

You may opt out of receiving text messages at any time by replying with any of the following keywords to any message you receive from us: STOP, CANCEL, END, UNSUBSCRIBE, or QUIT. Upon receiving your opt-out request, we will send you a single confirmation message acknowledging your unsubscription. No further text messages will be sent unless you re-opt in to the messaging program. Your phone number will be removed from our SMS messaging list within 24 hours of your opt-out request.

Help and Support

For assistance with our messaging program, reply HELP to any message from The Andy App. You will receive a response containing the program name (The Andy App), customer support contact information, opt-out instructions, and the notice that message and data rates may apply.

Call-to-Action Disclosures

At the point where you provide your consent to receive text messages from The Andy App, the following disclosures will be clearly and conspicuously displayed:

• The program name: The Andy App
• A description of the types of messages you will receive
• Message frequency disclosure
• "Message and data rates may apply"
• Opt-out instructions: Reply STOP to unsubscribe
• Help instructions: Reply HELP for help
• Links to our Privacy Policy and these Terms of Service

No Sharing of SMS Consent or Phone Numbers

We do not sell, rent, share, or transfer your mobile phone number or SMS opt-in consent information to any third party for promotional or marketing purposes. Your phone number is shared only with our SMS service provider solely for the purpose of delivering text messages on our behalf.

Consent Records

We maintain records of your SMS opt-in consent, including the date, time, method, and source through which consent was provided. These records are retained for the duration of your participation in our messaging program and for a minimum of five (5) years thereafter to demonstrate compliance with applicable laws and industry guidelines.

Phone Calls

You may receive phone calls from our representatives regarding your property tax appeals. You may opt out of receiving calls by informing our representative or contacting customer service.

Push Notifications

By enabling push notifications, you consent to receive alerts about your property tax appeal status, required actions, and relevant deadlines. You can manage push notification preferences through your device settings.

USER RESPONSIBILITIES

You agree to:

• Provide accurate and complete information about your property
• Respond promptly to our requests for additional information
• Review and approve documents before submission
• Inform us of any changes to your property or ownership status
• Comply with all applicable laws and regulations
• Not use our Service for any illegal or unauthorized purpose
• Not infringe on the rights of others

INTELLECTUAL PROPERTY

Our Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of The Andy App and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Your Content

You retain all rights to any information, photos, or data that you upload to our Service. By uploading content, you grant us a non-exclusive, royalty-free, worldwide license to use, store, display, and reproduce such content solely for the purpose of providing the Service to you.

LIMITATIONS OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE ANDY APP, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
• ANY CONTENT OBTAINED FROM THE SERVICE
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO THE ANDY APP IN THE PAST 12 MONTHS; OR (B) $100.

DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

THE ANDY APP DOES NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless The Andy App, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

THIRD-PARTY SERVICES

Our Service may contain links to third-party websites or services, including SignWell for digital signing. These third-party sites or services are not controlled by us, and we are not responsible for their content, privacy policies, or practices. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services.

TERMINATION

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

CHANGES TO TERMS

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the new Terms on the Service or notifying you directly. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

ARBITRATION AGREEMENT

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be finally settled by arbitration in accordance with the rules of the American Arbitration Association then in effect. The arbitration will be conducted in Austin, Texas, unless otherwise agreed by the parties.

CLASS ACTION WAIVER

YOU AND THE ANDY APP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any other legal notices published by The Andy App on the Service, shall constitute the entire agreement between you and The Andy App concerning the Service.

NO LEGAL TAX ADVICE

Our Service is designed to assist you with the procedural aspects of property tax appeals. We do not provide legal or tax advice. For specific legal or tax advice, please consult with a qualified attorney or tax professional.

NO GUARANTEE OF RESULTS

While we strive to achieve positive results for our users, we cannot guarantee a successful outcome for every property tax appeal. Property tax assessment reductions are determined by local tax authorities based on a variety of factors, many of which are outside our control.

TELEPHONE CONSUMER PROTECTION ACT (TCPA) DISCLOSURES

By opting in to receive text messages from The Andy App, you acknowledge and agree to the following in accordance with the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and the rules of the Federal Communications Commission (FCC):

1. You provide your prior express written consent to receive recurring automated and non-automated SMS and MMS text messages from The Andy App at the mobile number you provide.
2. Your consent is not a condition of any purchase or use of our Service.
3. You may revoke your consent at any time by replying STOP to any message, contacting our customer service, or through any other reasonable method.
4. Upon receiving your opt-out request, we may send a single confirmation message acknowledging your unsubscription.
5. Message and data rates may apply. For questions about your messaging plan, please contact your wireless carrier.

Texas Messaging Compliance (Texas SB 140)

Effective September 1, 2025, Texas Senate Bill 140 (SB 140) expanded the state's telemarketing regulations to include text messages (SMS and MMS).

In compliance with SB 140 and the Texas Business and Commerce Code, The Andy App makes the following disclosures:

• The Andy App sends text messages only to users who have provided prior express consent to receive such messages.
• All text messages are sent only during permitted hours (between 8:00 a.m. and 9:00 p.m. in the recipient's local time zone).
• Text messages sent by The Andy App are service-related communications regarding your property tax appeal and are not unsolicited marketing messages.
• You may opt out of text messages at any time by replying STOP, CANCEL, END, UNSUBSCRIBE, or QUIT.
• We maintain documented records of your consent including when and how consent was obtained.
